Terms of Service

1. Acceptance of the terms

By accessing or using the Vantage platform (the "Service"), you agree to be bound by these terms of service (the "Terms"). If you do not accept these Terms, you must not use the Service. Using the Service on behalf of a company means that you have the authority to bind that company to these Terms.

2. Description of the Service

Vantage is a management platform designed for construction contractors. The Service includes, without limitation: client management (CRM), creation of quotes and invoices, project management, work orders, daily reports, purchase orders, production scheduling, AI-powered quote generation, SMS and email notifications, and billing tools.

3. Registration and account

By creating an account, you agree to:

• Provide accurate, complete and up-to-date information
• Keep your password confidential
• Immediately notify Vantage of any unauthorized use of your account
• Be responsible for all activity carried out under your account

You must be at least 18 years old to use the Service. Each account is associated with a company (tenant) and is isolated from other companies' data.

4. Plans and pricing

Vantage offers the following plans:

• Free trial — 5 complete projects, core features, unlimited duration, no credit card required
• Pro Plan — $68/month (annual) or $79/month (monthly), 1 user included, unlimited projects, production
• Company Plan — $156/month (annual) or $189/month (monthly), 2 users included, all modules including AI and SMS

All prices are in Canadian dollars (CAD) and are subject to applicable taxes (GST/QST). Additional users cost $40/month per user.

5. Payment and billing

Payments are processed securely by Stripe. By subscribing to a paid plan, you authorize Vantage to charge your payment method on a recurring basis (monthly or annual) according to the chosen plan. In the event of a failed payment, we will notify you by email. If the payment is not resolved within 14 days, your account may be downgraded to the free plan.

6. Cancellation and refunds

You can cancel your subscription at any time from your dashboard (Billing section). Cancellation takes effect at the end of the current billing period. No prorated refunds are granted for periods already started. After cancellation, your account is downgraded to the free plan and you retain access to your data.

7. Acceptable use

You agree not to:

• Use the Service for illegal or unauthorized purposes
• Attempt to access the data of other users or tenants
• Interfere with the normal operation of the Service
• Use robots, scripts or other automated means to access the Service
• Copy, modify or distribute the software without authorization
• Send unsolicited communications (spam) through the SMS or email features
• Upload content that is malicious, defamatory or infringes the rights of others

8. Intellectual property

The Service, including its source code, design, features and documentation, is the exclusive property of Vantage and is protected by intellectual property laws. You retain ownership of all data you enter into the Service (clients, quotes, invoices, photos, etc.).

9. Artificial intelligence

The Service uses artificial intelligence (OpenAI GPT-4o) to generate quotes. AI-generated results are suggestions and must be reviewed before use. Vantage does not guarantee the accuracy of prices, quantities or descriptions generated by the AI. The user is responsible for the final validation of any quote before sending it to a client.

10. Service availability

We strive to keep the Service available 24/7. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates or due to circumstances beyond our control. We are committed to minimizing interruptions and informing users in advance whenever possible.

11. Limitation of liability

To the extent permitted by law, Vantage will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data or clients, resulting from the use of or inability to use the Service. Vantage's total liability will not exceed the amount paid by the user in the last 12 months.

12. Indemnification

You agree to indemnify and hold Vantage harmless from any claim, damage, loss or expense (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of the rights of a third party.

13. Termination

We reserve the right to suspend or terminate your account if you breach these Terms, if your use of the Service is abusive, or if you fail to resolve an overdue payment. In the event of termination, you will be able to export your data for a period of 30 days.

14. Changes to the Terms

We may modify these Terms at any time. Significant changes will be communicated to you by email or through a notification in the Service at least 30 days before they take effect. Continued use of the Service after the changes take effect constitutes your acceptance of those changes.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of the Province of Quebec, district of Montreal.

16. General provisions

• Entire agreement — These Terms constitute the entire agreement between you and Vantage regarding the use of the Service.
• Severability — If a provision is found to be invalid, the remaining provisions remain in effect.
• Waiver — Failure to exercise a right does not constitute a waiver of that right.
• Assignment — You may not assign your rights or obligations without our written consent.
